4. Intellectual Property Rights

All content on this Website — including but not limited to text, graphics, logos, photographs, images, icons, audio clips, digital downloads, data compilations, software, menus, recipes, branding materials, and the overall design and layout (collectively, "Content") — is the exclusive property of Anthony's Coal Fired Pizza or its licensors and is protected by applicable United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), trademark law, trade dress law, and other proprietary rights.

The Anthony's Coal Fired Pizza name, logo, and all related marks, product names, service names, designs, and slogans are trademarks or registered trademarks of Anthony's Coal Fired Pizza or its affiliates. You are expressly prohibited from using any of our trademarks, service marks, or trade dress without our prior written consent. Nothing in these Terms grants you any right, title, or interest in any of our intellectual property.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website for personal, non-commercial purposes only. This license does not permit you to: (a) reproduce, modify, distribute, display, perform, or transmit any Content; (b) create derivative works based on any Content; (c) use any Content for commercial purposes; or (d) remove or alter any copyright, trademark, or other proprietary notices from any Content.

If you believe that any Content on this Website infringes your copyright or other intellectual property rights, please send a notice to our designated agent at [email protected], in accordance with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512.

5. Payment Terms

Where the Website offers the ability to place online orders, purchase gift cards, or otherwise engage in financial transactions, the following payment terms apply:

5.1 Pricing and Taxes

All prices displayed on the Website are in United States Dollars (USD) and are subject to change without notice. Applicable sales tax, service fees, and delivery fees (if any) will be calculated and displayed at checkout. You are responsible for all taxes and fees applicable to your order under federal, state, and local law.

5.2 Payment Processing

We accept major credit cards and other payment methods as indicated at checkout. By submitting payment information, you represent and warrant that: (a) you are authorized to use the payment method submitted; (b) the information you provide is accurate and complete; and (c) you will pay all charges incurred in connection with your order.

5.3 Order Confirmation

Submission of an order through the Website constitutes an offer to purchase. We reserve the right to accept or reject any order at our sole discretion. An order is only confirmed when you receive a written confirmation from us via email or through the Website. We are not responsible for orders that fail to transmit due to technical errors or connectivity issues.

5.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been prepared. If you believe you have received an incorrect or unsatisfactory order, please contact us promptly at [email protected]. We will review your concern and, at our sole discretion, may offer a replacement, credit, or refund. Refund requests must be submitted within 24 hours of receipt of the order. Gift card purchases are non-refundable except as required by applicable law.

5.5 Gift Cards

Gift cards purchased through the Website are subject to any additional terms and conditions disclosed at the time of purchase. Gift cards have no cash value, are non-transferable, and may not be exchanged for cash except where required by law. We are not responsible for lost, stolen, or damaged gift cards.

6. Disclaimers and "As-Is" Basis

Nutritional and allergen information provided on the Website is approximate and for informational purposes only. Menu items may be prepared in facilities that handle common allergens, including but not limited to wheat, dairy, eggs, nuts, shellfish, and soy. Customers with food allergies or dietary restrictions are strongly encouraged to contact us directly before ordering to discuss their specific needs. Anthony's Coal Fired Pizza does not assume liability for any adverse reactions resulting from the consumption of our food products.

The Website may contain links to third-party websites, services, or resources. Such links are provided for your convenience only. Anthony's Coal Fired Pizza does not endorse, control, or assume any responsibility for the content, privacy practices, or terms of any third-party websites. Your use of any third-party website is at your own risk and subject to the terms and conditions of that website.

7. Limitation of Liability

In no event shall our aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Website exceed the greater of: (a) the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United States dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law. Nothing in these Terms shall limit or exclude liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Anthony's Coal Fired Pizza, its parent company, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, contractors, licensors, and successors (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your access to or use of the Website or Services;
  • Your violation of any provision of these Terms;
  • Your violation of any applicable federal, state, or local law, regulation, or ordinance;
  • Your violation of any third-party rights, including but not limited to intellectual property rights, privacy rights, or contractual rights;
  • Any false, inaccurate, or misleading information you provide through the Website;
  • Any orders placed by you or through your account;
  • Any conduct or content that you submit, post, transmit, or otherwise make available through the Website.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You shall not settle any claim without our prior written consent. This indemnification obligation will survive the termination of these Terms and your use of the Website.

9. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which the applicable Anthony's Coal Fired Pizza location is situated, without regard to conflict of law principles that would cause the application of the laws of any other jurisdiction.

In connection with any dispute arising out of or relating to these Terms or your use of the Website, you consent to the exclusive personal jurisdiction and venue of the federal and state courts located in the United States. You waive any objection to the exercise of jurisdiction over you by such courts and to the venue of such courts.

To the extent applicable, you acknowledge and agree that the following federal and state laws may govern your rights and obligations under these Terms:

Applicable Law Jurisdiction / Scope Relevance
Federal Trade Commission Act (15 U.S.C. § 41 et seq.) Federal (United States) Consumer protection, unfair or deceptive acts or practices
Computer Fraud and Abuse Act (18 U.S.C. § 1030) Federal (United States) Unauthorized access to computer systems
CAN-SPAM Act (15 U.S.C. § 7701 et seq.) Federal (United States) Commercial email communications
Digital Millennium Copyright Act (17 U.S.C. § 512) Federal (United States) Intellectual property and copyright protection
California Consumer Privacy Act / CPRA (Cal. Civ. Code § 1798.100 et seq.) State of California (if applicable) Consumer privacy rights for California residents
Uniform Commercial Code (UCC) Applicable state law Commercial transactions and sale of goods

Nothing in this section shall limit our right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened misappropriation or infringement of our intellectual property rights or other proprietary rights.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website informally. To initiate informal dispute resolution, you must send a written notice to Anthony's Coal Fired Pizza at [email protected] describing the nature of the dispute and your desired resolution. We will attempt to resolve the dispute within thirty (30) days of receipt of your notice. If we are unable to resolve the dispute informally within that period, either party may proceed to binding arbitration or litigation as provided herein.

10.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for claims that qualify for small claims court, and except as otherwise provided herein, you and Anthony's Coal Fired Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or the Services shall be resolved exclusively through binding individual arbitration, not in a class, representative, or consolidated action or proceeding. You and Anthony's Coal Fired Pizza waive the right to a trial by jury or to participate in a class action.

The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall take place in the United States, in the county or jurisdiction where you reside, unless otherwise mutually agreed by the parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

YOU AND ANTHONY'S COAL FIRED PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

10.4 Small Claims Court

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction, provided that the matter remains in such court and proceeds only on an individual (non-class, non-representative) basis.

11. Term and Termination

These Terms of Service are effective as of the date first set forth above and shall remain in full force and effect for so long as you use or access the Website or Services, unless earlier terminated in accordance with this section.

We reserve the right, at our sole discretion and without prior notice or liability, to:

  • Suspend or terminate your access to the Website or Services, in whole or in part;
  • Deactivate or delete your account and all associated data and content;
  • Cancel any pending orders (subject to applicable refund provisions);
  • Take any other action we deem appropriate;

...for any reason, including but not limited to: (a) your breach of any provision of these Terms; (b) our discontinuation or material modification of the Website or Services; (c) unexpected technical or security issues or problems; (d) extended periods of inactivity; or (e) requests by law enforcement or other government agencies.

You may terminate your account and your use of the Website at any time by contacting us at [email protected]. Termination of your account will not relieve you of any obligations or liabilities that accrued prior to termination.

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination — including, without limitation, intellectual property provisions, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law — shall survive any termination of these Terms.

12. Changes to These Terms

Anthony's Coal Fired Pizza reserves the right to modify, update, revise, or replace these Terms of Service at any time and at our sole discretion. We will provide notice of material changes by updating the "Last Updated" date at the top of this page. In some cases, we may provide additional notice of changes, such as by sending an email to the address associated with your account or by posting a notice on the Website's homepage. However, it is your responsibility to review these Terms periodically to stay informed of any updates.

Your continued access to or use of the Website or Services following the posting of any changes to these Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must immediately discontinue your use of the Website and Services. We encourage you to print or save a copy of these Terms for your records each time you review them.

We may also, in the future, offer new services, features, tools, or products through the Website. Any new features or services shall be subject to these Terms, unless otherwise specified at the time such features or services are made available.

13. Privacy Policy

Our Privacy Policy, available on this Website, describes how we collect, use, store, share, and protect information about you when you use our Website and Services. By agreeing to these Terms, you also agree to the collection and use of your information as described in our Privacy Policy, which is incorporated by reference into these Terms. We encourage you to review our Privacy Policy carefully. In the event of a conflict between these Terms and the Privacy Policy with respect to data privacy matters, the Privacy Policy shall govern.

To the extent you are a resident of California, you may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including the right to know, delete, correct, and opt out of the sale or sharing of personal information. Please refer to our Privacy Policy for more information regarding California residents' rights.

14. Severability

If any provision of these Terms of Service is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, void, unenforceable, or contrary to applicable law, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, such provision shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall not be affected by the invalidity or unenforceability of any severed provision.

The failure of Anthony's Coal Fired Pizza to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision, and no waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Any waiver must be in writing and signed by an authorized representative of Anthony's Coal Fired Pizza to be effective.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by Anthony's Coal Fired Pizza on the Website, constitute the entire agreement between you and Anthony's Coal Fired Pizza with respect to your use of the Website and Services, and supersede all prior or contemporaneous negotiations, discussions, agreements, representations, warranties, and understandings between you and Anthony's Coal Fired Pizza regarding the subject matter hereof, whether oral or written.

In the event of a conflict between these Terms and any other agreement you may have with Anthony's Coal Fired Pizza (such as a separate catering agreement or franchise agreement), the terms of such separate written agreement shall govern with respect to the specific subject matter of that agreement.

16. Force Majeure

Anthony's Coal Fired Pizza shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, fire, flood, storms, pandemics, epidemics, natural disasters, war, terrorism, civil unrest, government actions or orders, labor disputes, supply chain disruptions, utility failures, telecommunications failures, or internet outages (collectively, "Force Majeure Events"). In such circumstances, our performance obligations shall be suspended for the duration of the Force Majeure Event, and we shall use commercially reasonable efforts to resume performance as soon as practicable.

17. Accessibility

Anthony's Coal Fired Pizza is committed to making its Website accessible to individuals with disabilities, in compliance with applicable law, including the Americans with Disabilities Act (ADA), 42 U.S.C. § 12101 et seq.
